The I CAN Digital Arts Contest (the "Promotion") is open to individuals
or teams consisting of up to 4 Boys and Girls Club members, 18 years of age or
under as of the date of submission, who have each been members for a minimum of
three months. The participating Boys and Girls Club must be a full-member of
Boys and Girls Clubs of Canada ("BGCC") and be considered to be a member in
"good standing". Employees of BGCC, Microsoft Corporation or Microsoft
Canada Co. ("Microsoft"), their affiliated companies, advertising agencies,
prize suppliers and other representatives or member of the respective immediate
families of such employees and anyone with whom such employees are domiciled
are ineligible to participate in the Promotion.

The Promotion is sponsored by BGCC and Microsoft (the "Sponsors")

The Promotion runs from January 8, 2008 - April 4, 2008.

Individuals or teams can participate in the Promotion by submitting original
digital creations in one of the following three (3) categories: (i) Web design,
(ii) Digital photography, (iii) Open Category: Graphic design, music and
digital movie making. All submissions must be received by BGCC no later
than 5:00 p.m. Eastern Standard Time on April 4, 2008. Participants
must submit digital creations by mail in CD ROM format (these must be
clearly labelled) to BGCC at 7100 Woodbine Ave., Suite 204 Markham, ON,
L3R 5J2. All digital creations must be accompanied
by a completed submission form and permission/release form. Submission
forms and permission/release forms are available for download on the Digital
Arts Contest web site. Only one submission per individual or team is
allowed in each of the three categories. Participant clubs may submit multiple
digital creations, as long as each one is accompanied by a separate submission
form and permission/release form. All submitted digital creations, and
all copyright in the submitted digital creations, become the property of
Microsoft.

By submitting a digital creation, participants agree to abide by these rules of
the Promotion.

Judges from BGCC and Microsoft shall review and assess the digital creations on
the basis of creativity and innovation, demonstrated effective use of
technological media (i.e. computers/software programs/digital cameras etc.),
use of original content, overall impression of results achieved (relative to
the ages of team members and resources available to participants), description
of learning and skill development on submission form and degree of youth
leadership versus adult support on the creation of the work. The judges will
select up to 3 submissions per category as prize winners. The judges may
elect not to select winners in the event that (i) insufficient works are
submitted to the promotion, or (ii) the works submitted do not meet minimum
qualitative expectations. All decisions of the judges are final. All selected
participants will be announced at the BGCC Annual General Meeting in May
2008 and will be posted on the BGCC web site following that date.

There will be one 'first' or 'grand' prize-winning individual or team in
each category and two (2) runner up individual or team prize winners. All
winning individuals or teams will each receive a prize pack of cool digital
gadgets (Prizes will vary with respect to category and age of winners. The
minimum approximate retail value of each prize will be $50.) Each
prize-winning individual or team's Boys and Girls Club will receive a brand new
multimedia computer (approximate retail value $1,500). Each individual or
team is only eligible to win one prize, regardless of the number of digital
creations entered. Clubs are eligible to receive one computer per grand prize
winning individual or team entry from their club.

The Sponsors may edit the digital creations prior to publication, and may elect
to refrain from publication for any reason.

Selected participants will be contacted by telephone, email or regular mail by
May 30, 2008. Selected individuals or teams who cannot be contacted by
June 13, 2008 will forfeit their prize and no alternate participant/team will be
selected.

Prior to receiving their prize, each individual or member of the selected
participant team will be required to sign a release form to: (a) confirm
compliance with the official rules; (b) release the Sponsors from all
liability; (c) accept the prize as awarded; (d) consent to the use of the
participant's name, address, likeness and/or image for publicity purposes in
all mediums by the Sponsors; (e) assign copyright in the digital creation to
Microsoft (including an acknowledgement that the author will not receive any
royalties in the event the story is published); (f) waive any and all moral
rights the participant has in the digital creation; and (g) indemnify the
Sponsors for any damages in the event that the story submitted is not original
and infringes a third party's copyright. The Sponsors reserve the right,
at their option, to publish the story and the participant's name, address,
photograph, likeness, voice or statement without further compensation to that
person.

The prizes are non-transferrable and no cash alternatives will be provided.
Microsoft reserves the right to substitute the prizes described above with
prizes of equal or greater value.

Illegible, defamatory, libellous, racist, sexist, homophobic, profane,
infringing, obscene, indecent, unlawful or otherwise inappropriate digital
creations are unacceptable.

The Promotion is subject to all applicable federal, provincial and municipal
laws and regulations and is void where prohibited.

The Sponsors assume no responsibility for any error, omission, interruption,
deletion, defect, delay in operation or transmission, mail delivery,
communications line failure, theft or destruction to or unauthorized alteration
of the stories.

BGCC and Microsoft reserve the right in their sole discretion to cancel or
suspend the Promotion should viruses, bugs or other causes beyond the control
of the Sponsors corrupt the administration, security, fairness, integrity or
proper conduct of the Promotion.
